 Terms of Sale – Octopus LED Screens Pty Ltd

1. Scope & Acceptance

These Terms govern all sales, installations, and supply of digital LED screens and related services by Octopus LED Screens. By placing an order or paying a deposit, the Client agrees to these Terms without limitation.

2. Custom Projects & Deposits

Payment terms to commence project and schedule milestones in the project

  • 35% Upfront
  • 35% Onsite (All Equipment is on client’s premises)
  • 30% balance on completion (Practical handover, training, testing, all documentation including backup, warranty certificate)2. Deposits are not refundable due to the bespoke nature of each project.

3. Full ownership and title remain with Octopus LED Screens until 100% of the invoice is paid.

4. If a client withdraws from a custom project after deposit, no refund will be issued under Australian Consumer Law Section 54(2) due to the product’s custom-made classification.

5. Once a Purchase Order is submitted and a deposit is paid, changes to the order, price, or design will not be accepted.

3. Lead Times

1. Estimated production and supply lead time: 4–14 weeks, depending on stock availability, shipping, or manufacturing delays.

2. Faster turnaround (e.g. air freight) is available at additional cost to the Client.

3. Octopus LED Screens accepts no penalties, rebates, or liquidated damages for delays unless explicitly agreed in writing prior to contract signing.

4. Payment Terms

1. Remaining balance is payable upon installation, completion of training, or as otherwise scheduled in writing.

2. Final period for payment to be 30 days

3. Octopus reserves the right to reclaim or disable equipment if final payment is not received.

4. Access to documentation (manuals, software, warranties) is provided only after full payment is cleared.

5. Warranty Terms

1. 12-month standard warranty on all hardware, unless your invoice or contract states otherwise (i.e., 3 or 5 years).

2. Structural steel warranties: 7 years.

3. Warranty activates only after full payment is received.

4. Warranty includes diagnosis, repair, and replacement of faulty components.

5. Warranty excludes: ○ Damage from extreme weather, vandalism, improper storage, unauthorized repair.

○ “No Fault Found” (NFF) cases, which incur a $240 call-out fee.

○ IT/network-related issues — these must be resolved by the Client’s own IT provider.

6. OEM-branded third-party items (e.g. Samsung, NEC, Netgear) carry manufacturer’s warranty only.

6. Technical Support

● First 6 weeks post-install: Free technical support and callouts.

● After 6 weeks: Support is chargeable unless the issue is under valid warranty.

● Support (out of warranty): ○ Phone: $80/hour

○ Onsite: $220/hour (min. 2 hrs)

7. Supply-Only Orders

1. 100% payment required prior to shipping.

2. Octopus provides phone support and documentation after payment.

3. No install = no on-site warranty support unless paid separately.

4. Clients must complete installation within 4 weeks of delivery to ensure timely support eligibility.

8. Returns & Refunds Policy

1. Strictly no refunds or returns on custom-designed products.

2. No refund or exchange for services or extended warranties.

3. Only DOA (Dead On Arrival) items may be replaced after Octopus confirms the fault. 

9. Subcontractors

1. Octopus may assign qualified subcontractors to complete parts of a project.

2. Clients may request to use their own subcontractors; this requires prior approval.

3. Use of unapproved subcontractors may void the warranty.

4. Octopus subcontractors are bound by these Terms during project execution.

10. Heavy Machinery & Site Access

1. Quotes specify if machinery (e.g. boom lift, bobcat) is included.

2. Clients are responsible for access equipment if installation exceeds standard reach.

3. Octopus must be granted site access for installation, maintenance, and equipment retrieval (if unpaid).

4. Access for service must be supported by the Client in remote/high installations.

111. Copyright & Media Use

1. Octopus retains copyright over all designs, diagrams, renderings, and project images.

2. Octopus reserves the right to use project photos for promotional use (unless otherwise agreed).

3. Clients are not permitted to copy, reuse, or resell any media or text from Octopus’ website, YouTube channel, or marketing materials without prior written permission.

12. Council Approvals (DA)

1. It is the Client’s responsibility to obtain any relevant local council or Development Application approvals.

2. Octopus can be engaged separately to assist in DA applications; fees apply.

13. Dispute Resolution

1. Disputes will first be addressed via direct negotiation.

2. If unresolved, parties agree to mediation under the Australian Commercial Disputes Centre guidelines.

3. During unresolved disputes, Client must cease operation of disputed equipment until resolved.

14. Governing Law

These Terms are governed by the laws of New South Wales, Australia, and any legal action will be brought before the appropriate court in that jurisdiction.

15. Variations & Updates

Octopus LED Screens may revise these Terms at any time without notice. The applicable version will be the one in place at the time of your signed quotation or invoice.
